Terms of Use

These Terms of Use (“Terms”) govern your use of the website at kapis.ai and the AI Blueprint by Kapis conversational tool (together, the “Site”), which are operated by Kapis AI Tech Pvt Ltd (“Kapis”, “we”, “us”, “our”). Please read them carefully.

1. Acceptance of these Terms

By accessing or using the Site — including by starting a conversation with the AI Blueprint, downloading an AI Opportunity Plan, or booking a call with us — you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, please do not use the Site.

2. Nature of the service

Kapis provides:

  • Editorial and reference content published at kapis.ai/insights and elsewhere on the Site.
  • The AI Blueprint by Kapis, a conversational tool that gathers business context from you and produces a structured AI Opportunity Brief and, on request, an AI Opportunity Plan (PDF).
  • Scheduling for an optional first call with the Kapis delivery team.

The Site is a starting point — not an engagement. Any actual scope of work, deliverables, timelines, pricing, service levels, warranties and liability terms for a Kapis delivery engagement will be set out in a separate written agreement (typically a Statement of Work under a Master Services Agreement) signed by both parties. Until that separate agreement is signed, nothing on the Site (including any AI Opportunity Plan) is a binding offer or commitment on our part.

3. Eligibility

The Site is intended for business users acting in a business capacity. By using the Site, you represent that (a) you are at least 18 years old (or the age of majority in your jurisdiction, whichever is higher); (b) you are legally able to enter into contracts; and (c) if you are using the Site on behalf of a company, government body or other organisation, you have authority to bind that entity to these Terms.

4. Accounts

The AI Blueprint currently works without a user account. Where we ask for contact information (name, work email, phone, company) to email you a Plan or schedule a call, you agree to provide information that is accurate, current and complete, and to update it if it changes.

5. Acceptable use

You agree that you will not, and will not permit anyone else to:

  • Use the Site or the AI Blueprint for any purpose that is unlawful, deceptive, harassing, defamatory, obscene or otherwise objectionable, or that infringes any third party's rights.
  • Submit content to the AI Blueprint that you do not have the right to share, including confidential information belonging to third parties without their permission.
  • Submit special-category personal data (as described in our Privacy Policy) to the AI Blueprint.
  • Attempt to gain unauthorised access to any part of the Site, to any account, or to systems or networks connected to the Site.
  • Reverse-engineer, decompile, disassemble, scrape, mirror or otherwise attempt to derive the source code, models, prompts or training data behind the Site or the AI Blueprint.
  • Introduce viruses, malware, worms, denial-of-service techniques or any other technology that could disrupt the Site or its users.
  • Use the Site or the AI Blueprint to build or improve a competing product or service, or to generate content that misrepresents the Site as your own.
  • Use automated means (bots, crawlers, scripts) to access the AI Blueprint at a rate that exceeds normal human interaction, other than clearly-identified crawlers respecting our robots.txt.
  • Rely on the Site or the AI Blueprint as a substitute for professional legal, tax, financial, medical, engineering or other regulated advice.

6. Intellectual property

6.1 Our content

Everything on the Site that is not your own content — including the Kapis name and mark, the “{K}” logo, the “AI Blueprint by Kapis” brand, the Site's design, code, structure, articles, prompts, model configuration and the underlying software — is owned by Kapis or licensed to us and is protected by copyright, trademark and other intellectual-property laws. We grant you a limited, revocable, non-exclusive, non-transferable licence to access and use the Site for your own internal business evaluation purposes, subject to these Terms.

6.2 Your input

You retain ownership of the business context and other content you submit to the AI Blueprint (“Your Input”). You grant Kapis a worldwide, royalty-free, non-exclusive licence to use, store, process, transmit and display Your Input for the limited purposes of (a) delivering the AI Blueprint to you, (b) generating your AI Opportunity Brief and AI Opportunity Plan, (c) discussing a possible engagement with you, and (d) improving the accuracy and quality of our service (in a way that does not disclose Your Input to the public).

6.3 The AI Opportunity Plan

The AI Opportunity Plan we generate for you (excluding any Kapis branding, boilerplate frameworks, methodology descriptions and prior Kapis intellectual property that may be reflected in it) is provided for your internal business use. You may use it inside your organisation to make decisions about whether and how to proceed with AI initiatives. You may not resell it, redistribute it publicly, or hold it out as independent third-party advice.

7. AI-generated content — important disclosures

The AI Blueprint uses large language models to generate its questions, its Brief and its Plan. That means:

  • The output is guidance, not a warranty. It may be incomplete, out-of-date or wrong. It may reflect assumptions that do not hold in your organisation.
  • The output is not legal, tax, financial, engineering, regulatory or medical advice. You must confirm anything material with the relevant qualified professional before you act on it.
  • Similar or identical output may be generated for other users who describe similar situations. The Plan is a well-scaffolded starting point — it is not exclusive to you.
  • You are responsible for reviewing the output before using it and for verifying any factual, quantitative or regulatory claims against authoritative sources.

8. Confidentiality

When you share business context with the AI Blueprint in the ordinary course of using the Site, we treat that context as confidential to you. We use it only to run the service, prepare your Plan, prepare for our call with you and improve our service in an anonymised or aggregated way. We do not publish it, and we do not sell it. Sub-processors that receive it are contractually bound to keep it confidential. See our Privacy Policy for details.

If you would like a signed non-disclosure agreement in place before you share particularly sensitive information with us, please email ops@kapis.ai and we will arrange one.

9. Bookings and consultation calls

The first scoping call arranged through the Site is provided at no charge. Neither you nor Kapis has any obligation, arising from the call alone, to enter into an engagement. Either party may decline to proceed at any time and for any reason.

10. Third-party services

The Site relies on third-party providers (as listed in our Privacy Policy) for hosting, the LLM, analytics, scheduling and email. Kapis is not responsible for those third-party services except to the extent required by law or by our contract with them. Links to third-party sites are provided for your convenience; we do not control or endorse the content of third-party sites.

11. Availability and changes

We may change, suspend or discontinue any part of the Site at any time, with or without notice. We may impose reasonable limits on use of the AI Blueprint (for example, on message length, session length or rate) to protect the service. We do not warrant that the Site will be uninterrupted, error-free or available at any particular time.

12. Disclaimer of warranties

To the maximum extent permitted by law, the Site and the AI Blueprint are provided “as is” and “as available”, without warranties of any kind, whether express, implied or statutory. Kapis specifically disclaims all implied warranties of merchantability, fitness for a particular purpose, non-infringement, quiet enjoyment, accuracy of informational content and any warranties arising from a course of dealing or usage of trade. Nothing on the Site is a professional opinion or advice on your specific situation.

13. Limitation of liability

To the maximum extent permitted by law, in no event will Kapis, its officers, directors, employees, affiliates or licensors be liable for any indirect, incidental, consequential, special, exemplary or punitive damages, or for any loss of profits, revenue, goodwill, business opportunity, data or use, arising out of or in connection with your use of the Site or the AI Blueprint, even if Kapis has been advised of the possibility of those damages. In all events, Kapis' total aggregate liability for any and all claims arising out of or in connection with your use of the Site or the AI Blueprint will not exceed US$100. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

14. Indemnity

You agree to indemnify, defend and hold harmless Kapis and its officers, directors, employees and affiliates from and against any claims, damages, losses, liabilities, costs and expenses (including reasonable legal fees) arising from (a) Your Input, (b) your use of the Site in violation of these Terms, or (c) your violation of any law or any third-party right.

15. Termination

We may suspend or terminate your access to the Site at any time if we reasonably believe you have breached these Terms or applicable law, or if we discontinue the Site. Sections that by their nature should survive termination (including sections 6, 7, 8, 12, 13, 14, 16 and 17) will survive.

16. Governing law and dispute resolution

These Terms are governed by the laws of India, without regard to conflict-of-laws principles. Subject to any mandatory rights you have as a consumer in your country of residence, you and Kapis agree that the courts at Bengaluru, Karnataka, India will have exclusive jurisdiction over any dispute arising out of or in connection with the Site or these Terms. Nothing in this section limits either party's ability to seek urgent injunctive or equitable relief in any court of competent jurisdiction.

17. Miscellaneous

  • Entire agreement. These Terms, together with the Privacy Policy and any Statement of Work / Master Services Agreement we sign with you, are the entire agreement between you and Kapis regarding the Site and supersede any prior understandings.
  • Severability. If any provision is held unenforceable, the remainder will remain in full force.
  • No waiver. Our failure to enforce any right or provision is not a waiver of it.
  • Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition or sale of assets.
  • Changes. We may update these Terms from time to time. Material changes will be announced on the Site at least seven days before they take effect. Your continued use of the Site after changes take effect constitutes acceptance.
